Msphere Terms of Service

Version 1.0

Msphere Inc. ("Msphere") and the educational institution accepting this Agreement ("School").

1. Purpose

Msphere provides a cloud-based software platform for:

Student progress tracking
Classroom observations
Curriculum planning
Teacher collaboration
Administrative reporting
Parent communications
Digital portfolios
Analytics and workflow automation

2. License

Msphere grants School a limited, non-exclusive, non-transferable subscription right to access and use the platform.

3. Ownership

School retains ownership of School Data. Msphere retains ownership of software, interfaces, workflows, analytics models, infrastructure, and documentation.

4. Acceptable Use

School shall not upload unlawful content, malware, attempt unauthorized access, reverse engineer, or interfere with platform availability.

5. User Accounts

School is responsible for provisioning users, disabling departed employees, assigning permissions, and safeguarding credentials.

6. Availability

Msphere uses commercially reasonable efforts to maintain service availability.

7. Fees

Paid features are subject to separate pricing terms.

8. Suspension

Msphere may suspend access to address security threats, unlawful activity, or legal obligations.

9. Confidentiality

Each party shall protect confidential information using reasonable care.

10. Limitation of Liability

Liability is limited to fees paid during the preceding twelve months, except for willful misconduct or gross negligence.

11. Termination

Upon termination, School may request export of its data.

12. Governing Law

This Agreement is governed by Washington State law.
